1. ENTRY REQUIREMENTS – NO PURCHASE NECESSARY TO ENTER OR WIN. The 2020 Wildernest Scholarship for Female Entrepreneurs Contest (“Scholarship Contest”) will be held online from 12:01 am Eastern Time (“ET”) January 13, 2020 (“Scholarship Contest Start Date”) to 11:59 pm Eastern Time (“ET”) January 22, 2020. (“Scholarship Contest Entry Period.”) The Scholarship Contest is sponsored by Wildernest, LLC, 5830 E. 2nd Street Suite 8, Casper, Wyoming (WY) 82609 (“The Business”). The Business is solely responsible for all aspects of this Scholarship Contest.
      2. ELIGIBILITY – The Scholarship Contest is open to all women who are or will be at least 18 years of age by January 22, 2020 (“Applicant”). Immediate family members of The Business are not eligible to enter. The Business reserves the right to verify eligibility of any potential winner. Winning the Scholarship is contingent upon meeting all requirements set forth herein. Applicants who do not meet these requirements will be disqualified, and their submissions will be void.  
      3. HOW TO ENTER – During the Scholarship Contest Entry Period, Applicants can submit their videos (“Submissions”) by emailing hello@wildernestwomen.com. Applicants must completely and accurately submit all information required for entry. Submissions must be based on the Scholarship Contest’s rules and regulations, available at wildernestwomen.com/scholarship. Video submissions can be no longer than 3 minutes. All submissions must be received by 11:59 pm EST on January 22, 2020. The Business is not responsible for late or unsuccessful attempts to enter. The Applicant should be able to provide upon request all third-party clearance, releases, and permissions for essay and photo submission, including releases from the Applicant and any other third-party participants. Submissions may not contain material that is sexually explicit, obscene, violent, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, etc.) offensive, threatening, profane or harassing. Submissions may not contain any material that infringes on international copyright rules and regulations. Once submitted, all submissions become the exclusive property of The Business and its attorneys in perpetuity.  
      5. RIGHTS IN SUBMISSIONS – In consideration of Applicant’s video being reviewed and evaluated for the Scholarship Contest, The Business has exclusive rights to use, copy, sublicense, transmit, distribute, publicly perform, publish, delete, or display any such submission, or any portion thereof, in any and all media including but not limited to all forms of internet, television, and wireless protocol. Each Applicant authorizes The Business to utilize all Applicant content submitted to The Business, for eternity and for how they see fit, in connection withThe Business’ website campaign and any of The Business’ programs, including any programs of its employees, and to make derivative works from such materials at the sole discretion of The Business. The winner may be required to complete and execute additional documents and have third parties execute The Business’ documents in connection with the rights granted to The Business as a condition of scholarship acceptance. In addition, by participating in the Scholarship Contest and submitting a video, each Applicant hereby grants permission (except where prohibited by law) for The Business to use Applicant’s Video, name, likeness, voice, quotes, comments, biographical information, photograph and/or image for the purpose of advertising, trade, or promotion without further notice, permission, compensation or consideration in any and all media now known, in perpetuity, unless prohibited by law.       6. REQUIREMENT FOR ORIGINAL CONTENT.  Applicant understands, represents, warrants and agrees that all material submitted by Applicant as part of the Scholarship Contest is Applicant’s own, original content which Applicant has all rights to use.  Applicant agrees to defend and indemnify The Business for all damages, attorney fees and other costs in the event that any cease and desist, claim or action is initiated against The Business as a result of content submitted by Applicant.  Such defense and indemnity shall include, but is not limited to, claims of copyright, trademark or other infringement on the intellectual property rights of third parties.
      7. EQUITABLE RELIEF – Each Applicant understands, acknowledges, and agrees that The Business does not have now or in the future any duty or liability, direct or indirect, contributory, or otherwise, in regards to the infringement of protection of the copyright in and to the submission. Each Applicant acknowledges that, with respect to any claim by Applicant relating to or arising out of The Business’ actual or alleged exploitation or use of any Submission or other material submitted in connection with the Scholarship Contest, the damage, if any, thereby caused to the applicable Applicant will not be irreparable or otherwise sufficient to entitle such Applicant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of the Video or any other production based on or allegedly based on the Submission, and the Applicant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
      8. PRIZE RESTRICTIONS – A winner cannot assign or transfer the Scholarship to another person. The Scholarship is subject to availability. If the Scholarship or any portion of the Scholarship cannot be awarded due to circumstances beyond the control of The Business, then a substitute award may be made at the sole discretion of The Business. Winners are responsible for any risk of loss associated with the Scholarship after it has been delivered.
      9. NO GUARANTEE.  By submission of Applicant’s scholarship entry to the Scholarship Contest, Applicant understands and agrees that The Business has made no guarantee of success, income or performance relating to Applicant’s Submission.  Applicant waives any and all claims against The Business relating to the ultimate performance of Applicant’s Submission. Both The Business and Applicant understand and agree, to the fullest extent permitted by law, that they will not make or endorse any disparaging or negative remarks or statements (whether oral, written, or otherwise) concerning the other party (or their officers, directors, agents, and/or employees).  Nothing in this paragraph shall prevent a party from providing truthful testimony and/or information in response to a lawful subpoena, court order or gov-ernmental inquiry.
      10. CHOICE OF LAW, VENUE AND JURISDICTION.  This Scholarship Contest shall be governed by and construed in accordance with the laws of the State of Wyoming.  Venue for any action arising from or relating to this Scholarship Contest, Nest for Success or The Business shall be in any court of the State of Wyoming.  Applicant agrees and submits to the jurisdiction of the courts of the State of Wyoming.
      11. ENTIRE AGREEMENT.  The Scholarship Contest rules and regulations set forth herein represent the entire agreement between Applicant and The Business and fully supersede any and all prior agreements or understandings between Applicant and The Business.  No statements, promises or representations have been made by any party to the other, or are relied upon, other than that already set forth herein.
